Course content:

The course "Commercial Law" covers the entire spectrum of commercial institutes that make up this vast legal area. The proposed matter follows for the most part the legal regulations (Commercial Law). There is a general part which provides legal characteristics of the trader – the prerequisites for becoming one, legal individualization, trade register, company and representation (topics from 1 to 9). The next group of topics is dedicated to the legislative aspects of the organization of the commercial activity, stipulated in the Commercial law – the sole trader and the company (topics from 19 to 29). It includes the contemporary forms of investment activity by Plc, investment companies and companies with a special investment activity, subject to the provisions of the Law on public offering of securities. Commercial transactions are presented in topics from 30 to 38. Because of the specific professional orientation of the students a special emphasis is placed on bank transactions (topics from 39 to 46) and the Security rights. Topics include not only the traditional instruments – bills of exchange, promissory notes and checks (topics from 50 to 56), but also modern financial instruments traded on the capital markets (topics from 47 to 49). Trade insolvency is a complicated matter for the students to manage and therefore is presented as a set of basic principles only.

 

Course aim

The course in Commercial law enables students to acquire theoretical knowledge and practical skills for orientation in the modern business environment. Students become familiar with the main institutions of commercial law and their presence in the economy. They gain the ability to navigate among the numerous and complex set of norms of commercial law. The course helps prepare modern qualified and broadly profiled managers able to work in a dynamic environment, economic risk, significant competition, intense communication, increasing information flows and other.

 

Intended learning outcomes

- Be able to apply in practice the acquired knowledge and in particular, to be able to look for information in the trade register, to prepare letter of attorney for the respective commercial representations, prepare Memorandum of Association for the respective companies, manage companies, establish commercial security, exercise security rights and etc.
